Italy wary of headquarters issue in UniCredit–Commerzbank talks
Italy is reportedly monitoring closely the ongoing discussions between UniCredit and Commerzbank, amid concerns that the Italian banking group could consider relocating its headquarters to Germany as part of a potential takeover strategy.
According to sources familiar with the matter, such a move is viewed in Rome as a sensitive issue, even though UniCredit has not confirmed any intention to shift its legal base. Italian authorities are said to be particularly attentive to preserving the country’s financial influence in major banking institutions.
UniCredit has recently increased its stake in Commerzbank and submitted a multi-billion-euro offer aimed at strengthening its position in the German banking market. The operation has faced resistance from German stakeholders, making negotiations complex and politically sensitive.
Chief Executive Andrea Orcel has described the bid as an attempt to break the deadlock and initiate structured discussions between both parties. The goal, according to the bank, is to explore strategic cooperation opportunities while maintaining regulatory compliance across jurisdictions.
Italy retains special legal tools, often referred to as “golden powers,” allowing the government to intervene in transactions considered strategic for national interests. These powers could potentially be used to impose conditions on any final agreement, including requirements linked to governance or the location of key operations.
Despite speculation, UniCredit has reportedly indicated that its headquarters will remain in Italy. However, the question of corporate structure and legal domicile is expected to remain central in negotiations between the two banking groups.
