Italian watchdog validates all board nominations at Monte dei Paschi
Italy’s financial markets regulator has reportedly confirmed the legitimacy of all candidate lists submitted for the upcoming board renewal at Banca Monte dei Paschi di Siena, according to a source familiar with the matter.
The decision by Commissione Nazionale per le Società e la Borsa (Consob) comes after a review of three separate slates proposed by different shareholder groups. None of the submissions were found to violate regulatory standards, effectively clearing the way for a competitive governance process at the historic Italian bank.
The assessment was reportedly carried out in coordination with the European Central Bank, highlighting the importance of regulatory oversight in ensuring transparency and stability within the European banking sector.
The review follows a complaint raised by the current board of Monte dei Paschi regarding one of the candidate lists. The contested slate had been put forward by a small investor group with the aim of securing another term for the bank’s chief executive, Luigi Lovaglio.
Despite the concerns raised, regulators concluded that the nomination process complied with applicable rules. This outcome reinforces confidence in the governance procedures of listed companies in Italy, particularly at a time when investor scrutiny remains high.
Monte dei Paschi di Siena, the world’s oldest surviving bank, has undergone years of restructuring and reform. The upcoming board renewal is seen as a key moment in its ongoing efforts to strengthen management stability and restore investor trust.
The regulator’s decision signals a commitment to fair competition among shareholders while maintaining strict adherence to financial governance standards.
