OpenAI and Microsoft revise partnership, end exclusive intellectual property rights

OpenAI and Microsoft have agreed to overhaul their partnership, removing Microsoft’s exclusive rights to OpenAI’s intellectual property and allowing the artificial intelligence firm to operate across multiple cloud platforms. The revised agreement reshapes one of the most closely watched alliances in the technology sector and signals a shift toward greater independence for OpenAI as demand for AI infrastructure expands.

Under the new terms, Microsoft will remain OpenAI’s primary cloud partner and retain a license to its intellectual property until 2032. However, the exclusivity that once tied OpenAI to Microsoft’s Azure platform has been removed. OpenAI can now deliver services to enterprise clients through competing providers, including Amazon Web Services, Oracle, and Google Cloud. The agreement also introduces a cap on the share of revenue that OpenAI must allocate to Microsoft through 2030, eliminating a provision that had drawn criticism in earlier contracts.

The revised framework follows a broader restructuring process that accelerated in late 2025, when OpenAI transitioned into a public benefit structure and granted Microsoft a 27 percent stake valued at approximately $135 billion. As part of that shift, OpenAI committed to purchasing $250 billion in Azure services, while Microsoft relinquished its right of first refusal over OpenAI’s computing capacity. Since then, OpenAI has expanded its infrastructure strategy, securing large-scale agreements across multiple cloud providers and committing to more than $1 trillion in total spending over the next decade.

Despite the renewed terms, the partnership has faced persistent tensions. Microsoft formally identified OpenAI as a competitor in mid-2024 filings, reflecting overlapping ambitions in enterprise AI and cloud services. Throughout 2025, negotiations intensified over governance changes, revenue distribution, and the scope of exclusivity clauses that OpenAI viewed as limiting its growth. A joint statement released in early 2026 sought to reassure markets, emphasizing that Azure would continue to host key OpenAI services, including stateless APIs and proprietary systems.

Market reaction to the announcement was cautious. Microsoft shares declined in early trading, as investors assessed the implications of reduced exclusivity and revenue share. Analysts described the revised deal as a strategic compromise. Microsoft secures long-term access to OpenAI’s models and sustained cloud spending commitments, while OpenAI gains operational flexibility and reduced financial constraints. The agreement underscores a recalibration of power within the AI ecosystem, where partnerships must adapt to rapid technological and commercial expansion.
