Telecom Italia board endorses Poste Italiane’s €11 billion takeover bid

(TIM) said its board of directors has unanimously approved the voluntary public tender and exchange offer launched by Poste Italiane for all outstanding shares of the telecom operator.

The decision marks a major step forward in one of the most significant transactions in the Italian telecommunications sector in recent years and signals strong internal backing for the proposed acquisition.

Poste aims to take TIM private

Poste Italiane, which became TIM’s largest shareholder last year, announced in March an offer valued at approximately €11 billion for the shares it does not already own. The group is seeking to delist TIM from the stock market and integrate the business into a broader national digital strategy.

The transaction is designed to create what Poste has described as a national digital champion, combining telecom infrastructure with the company’s extensive postal, logistics, financial services and digital operations.

Strategic implications for Italy’s telecom market

The proposed takeover would reshape Italy’s communications landscape by bringing together one of the country’s largest telecom operators and its state-controlled postal and financial services group.

Analysts view the deal as part of a broader effort to strengthen domestic control over strategic digital infrastructure, including broadband networks, cloud services and digital identity platforms.

Poste Italiane has increasingly expanded beyond its traditional postal business, investing heavily in digital services, payments, insurance and telecommunications as it seeks new growth opportunities.

Next steps in the acquisition process

With the board’s recommendation secured, the offer will now move into the shareholder approval phase. Investors will be asked to evaluate the terms of the tender and exchange offer, while Italian market regulators are expected to review the transaction.

The deal could still face scrutiny over competition, governance and the future structure of TIM’s operations, particularly given the company’s strategic role in Italy’s telecommunications infrastructure.

A pivotal moment for TIM

For Telecom Italia, the takeover bid represents a potential turning point after years of restructuring efforts, debt reduction initiatives and changes in ownership structure.

If completed, the acquisition would remove TIM from public markets and place the company under the control of Poste Italiane, creating a larger integrated group focused on digital connectivity, online services and next-generation infrastructure.

The unanimous endorsement by TIM’s board significantly strengthens Poste’s position as it pursues one of the largest corporate transactions currently underway in Italy.
