Neurocrine to acquire Soleno Therapeutics for $2.9 billion

Neurocrine Biosciences announced on Monday that it will acquire Soleno Therapeutics for $2.9 billion in cash, marking a strategic expansion into treatments for metabolic disorders. The deal includes a $53 per share offer, representing a roughly 34% premium over Soleno’s previous closing price.

The acquisition provides Neurocrine access to Vykat XR, the first U.S.-approved drug for hyperphagia associated with Prader-Willi syndrome, a rare genetic disorder characterized by intense and persistent hunger. The condition often leads to severe obesity and may cause physical, cognitive, and behavioral challenges.

Soleno’s shares surged over 30% in premarket trading following initial reports of the deal before trading was temporarily halted. The acquisition reflects Neurocrine’s ongoing focus on expanding its portfolio in neuroscience and rare disease treatments.
