Thales advances €3.9 billion acquisition of Exail to strengthen drone warfare capabilities
French defence and technology group Thales has taken another step toward expanding its presence in the rapidly growing unmanned defence sector by signing a tender offer agreement with Exail Technologies, formalizing the framework for its planned acquisition of the drone specialist.
The agreement advances a transaction first announced earlier this month and reinforces Thales' strategy of strengthening its portfolio of autonomous and drone-based military technologies at a time when demand for advanced defence systems continues to accelerate worldwide.
Tender offer defines terms of the proposed transaction
Thales announced that the newly signed agreement establishes the conditions for its public tender offer to acquire Exail Technologies.
The proposed transaction values Exail at an enterprise value of approximately €3.9 billion, confirming the financial terms unveiled when the companies first disclosed the deal on 6 July.
Completion of the acquisition remains subject to the customary regulatory approvals and the successful completion of the tender offer process.
Drone technologies become a strategic priority
The acquisition reflects the growing importance of unmanned systems across modern defence operations.
Military planners around the world are increasing investment in drones for intelligence gathering, surveillance, reconnaissance, electronic warfare and precision strike capabilities. As geopolitical tensions continue to reshape defence priorities, manufacturers are racing to expand their technological expertise in autonomous platforms.
By integrating Exail's capabilities, Thales aims to reinforce its position in a market that has become one of the fastest-growing segments of the global defence industry.
European defence industry continues to consolidate
The proposed acquisition also illustrates a broader trend of consolidation within Europe's defence sector, as major companies seek to expand technological capabilities through strategic acquisitions rather than relying solely on internal development.
For Thales, adding Exail's expertise would strengthen its portfolio of advanced defence technologies and enhance its competitiveness in international military procurement programmes.
The transaction underscores the increasing strategic value of drone technologies as governments continue to modernize armed forces and invest in next-generation defence systems.
