Continental agrees €4.6 billion sale of ContiTech unit to Lone Star Funds

German automotive supplier Continental AG has agreed to sell its ContiTech division to private equity firm Lone Star Funds in a transaction valued at approximately €4.6 billion, marking a major step in the group’s strategy to refocus on its core tyre business.

The deal underscores ongoing restructuring within Europe’s automotive supply chain as companies adjust portfolios in response to shifting market conditions and profitability pressures.

Strategic shift toward core tyre business

Under the agreement, Continental will divest its ContiTech plastics and rubber operations while retaining its primary tyres segment, which remains the company’s central profit engine.

The company said the sale is expected to generate around €3.1 billion in net cash proceeds, subject to standard adjustments, with additional performance-related payments of up to €250 million potentially following in subsequent years.

Management indicated that a portion of the proceeds—approximately €2.5 billion—could be returned to shareholders after completion of the transaction.

Pressure on ContiTech division

The ContiTech unit has faced sustained cost pressures in recent years, prompting restructuring efforts across its operations.

Earlier this year, the division announced job reductions affecting around 3,000 positions, including significant cuts in Germany, as part of efforts to improve efficiency and long-term competitiveness.

Continental has previously targeted annual savings of around €150 million at ContiTech by 2028, reflecting broader cost-optimisation initiatives across the group.

Timeline and outlook

The company said it expects the transaction to be completed by the end of 2026, pending regulatory approvals and customary closing conditions.

Continental also noted that it is currently assessing the impact of the sale on its full-year financial outlook, while confirming that its tyres business forecast remains unchanged.

The divestment represents a continuation of a wider trend among European industrial manufacturers streamlining portfolios to concentrate on higher-margin core activities.

Broader industry consolidation trend

The sale highlights ongoing consolidation and restructuring in the global automotive supplier sector, where companies are increasingly separating non-core industrial units to improve financial performance and strategic focus.

Private equity firms such as Lone Star Funds continue to play a key role in acquiring industrial assets viewed as having long-term restructuring potential.
