Bayer secures €3 billion from Apollo in contraceptives business investment deal
German pharmaceutical and life sciences group Bayer has secured €3 billion ($3.4 billion) in equity financing through an agreement with funds managed by Apollo Global Management, strengthening its capital structure while retaining control of one of its key healthcare businesses.
Announced on Friday, the transaction centers on Bayer's long-acting reversible contraceptives (LARC) business, which will be placed into a newly created entity as part of the investment structure.
Under the agreement, funds and affiliates managed by Apollo will acquire a minority, non-controlling stake in the new company. Bayer will continue to hold a majority ownership position and maintain full operational control over the contraceptives business.
The company said the transaction is designed to reinforce its financial position while preserving strategic oversight of an important segment within its pharmaceuticals portfolio.
Long-acting reversible contraceptives, including hormonal implants and intrauterine devices (IUDs), represent a significant area of women's healthcare, offering long-term pregnancy prevention through highly effective, reversible methods.
The investment reflects Bayer's strategy of unlocking value from selected business units without relinquishing operational leadership, while also providing additional financial flexibility to support broader corporate priorities.
For Apollo, the agreement expands its exposure to the healthcare sector through an investment in a well-established global reproductive health business, while allowing Bayer to continue directing the unit's commercial and operational activities.
The companies did not disclose additional financial terms beyond the €3 billion equity investment.
